Dissolve was created by Cliff Sanderson and Rod Grosvenor. Dissolve is dedicated to a single purpose – company liquidation.
Cliff and Rod saw that company liquidation was an area of professional practice lacking a specialist service provider. It was an area most commonly serviced by the insolvency divisions of large accounting firms or specialist insolvency firms. The large accounting firms have other service lines as their primary service, whether that be audit, tax or formal appointment as Voluntary Administrators and so had developed the processes and expertise necessary to provide a cost efficient service.
All specialist insolvency firms pursue medium to large insolvency appointments and inevitably develop a high overhead structure.
So Dissolve was created to provide a fast, professional and cost efficient liquidation service.
Importantly, Dissolve is free of the conflicts inherent in using a company's auditor to perform the liquidation of a group company. In many situations an audit firm should not be performing liquidation services for an audit client due to a conflict of interest.
Our Services
At Dissolve, we provide two simple products:
- 1. Creditors’ Voluntary Liquidation – the liquidation of insolvent companies
- 2. Members’ Voluntary Liquidation – the liquidation of solvent companies
At Dissolve, we focus on a single service area – company liquidation. We are able to provide our services at a fee often half or a third of other service providers.

By focusing on a single, highly specialised service area, we are able to bring to bear our experience and professional judgment to develop highly streamlined systems and a timely service.
Also, unlike other Registered Liquidators, we do not seek appointment to large or complicated assignments. Hence we are geared for smaller companies and so we don’t have any expensive overheads.

Cliff is a corporate restructuring specialist with over 26 years of experience in Australia and internationally. He is the founder and Chief Executive Officer of Dissolve Pty Ltd.
From 1995 to 2005 Cliff was a Partner of Ernst & Young variously in the Corporate Restructuring, Corporate Finance and Transaction Advisory Services. During some of that period he was Lead Partner of Ernst & Young's Transaction Advisory Services practice in Indonesia. His experience ranges from formal appointments as Liquidator and Voluntary Administrator to engagement partner in various disciplines including due diligence, mergers and acquisition, valuation and expert witness. Cliff has been the lead adviser in some of the largest restructurings in the Asia Pacific region, resulting in the restructuring of over USD8billion of debt. Cliff has led major restructuring assignments in Australia, Indonesia, Vietnam, Thailand and Singapore including numerous individual assignments with international teams of over 50 professionals.
Cliff is a chartered accountant, registered company liquidator, official liquidator of the Federal Court of Australia, and a member of the Insolvency Practitioners Association of Australia. He has a business studies degree from the NSW University of Technology.

Rod is a founder of Dissolve Pty Ltd. He has a wide range of experience in accounting, taxation, and the audit of large corporate clients.
Rod commenced his career in professional practice in 1984 in KPMG’s Sydney office. He had seven years experience auditing large public companies with KPMG and then twenty years experience as a partner of a medium sized city firm.
His experience extends across the preparation of financial statements, auditing, Corporations Act, establishment and advice on accounting systems and controls as well as taxation and accounting services. He has been involved with clients across various industries including oil and gas, mining, manufacturing, retailing, banking, construction, investment, insurance, real estate, legal, printing and publishing, registered clubs and associations, travel and hospitality industries.
He has also been involved in other activities including membership of the Energy and Natural Resources specialist group, preparation of prospectuses and due diligence reports and leader of staff training at a firm level and with the Institute of Chartered Accountants.
Rod is a chartered accountant, registered company auditor and a registered tax agent. He has a business studies degree from the NSW University of Technology.
